上海马建荣律师解答：有限责任公司的本意即为公司以其全部财产对外承担责任，股东以出资额为限承担责任。故如果你当初全部注册资本已到位，且无抽逃出资或资产混同的情况，公司破产不会牵涉到你的私人财产。
所谓收购设备在法律上是买卖关系，同时承担债权债务牵涉到债权债务的转移，一般以股权转让的方式来间接实现，但如果只是股权转让设备依据属于原国内企业，债权债务还是由原国内企业承担，外资公司通过控股间接控制，根据行业不同需要办理一系列审批备案手续。
