公司的股东资本金投入大于注册资本，可以作两种处理，一是在没有任何约定的情况下，超出部分作为股东对公司的债权，二是股东溢价出资，超出部分作为资本公积。若是前者可参与破产分配，但肯定不可能全部追回了，只能与其他债权人按比例分配破产财产。若是后者，作为出资，则不能追回。
