1、出资30万，门市价值100万。可以这么出资吗? 怎么处理?
2、门市的产权登记要怎么处理？可否直接出资，改变登记？

答：
根据公司法的规定，可以实物出资。但是根据你所述，基本没有操作性。原因有二：一是该房产并非A的财产，A不能将他人财产作为出资（共有财产须有合法证明）；二是价值100万的财产作价30万无法操作，是否超出部分就放弃了呢？
如果是A的自有财产，且作价100万作为出资还有可能。若可以作价出资，必须过户至公司名下。
