法律桥网友Lifengdg咨询：我朋友公司是一个股份公司。但公司的大股东（55%股份）在公司还有利润可营的情况下，不让其它小股东知道成立了私人的但经营类型又是和原公司差不多的公司。请问这个大股东的作法是否合法。
广州辛巴哥哥律师解答：根据公司法的规定，公司的董事、高级管理人员（正副经理、财务负责人）自营或者为他人经营跟所在公司同类的业务，都是违法的。但是对于股东从事同类的业务是否违法的问题，公司法则没有规定。因此，如果该股东并没有担任董事、高级管理人员（正副经理、财务负责人），该股东的行为不违法。另外，若该公司的公司章程另有约定此种行为是禁止的，则可以根据约定来处理。
