请教您一个问题：我是在深圳的一家公司，我能否将公司股份的98%转让给一个香港人，这样做是否合法？如他取得股份后，能否出任公司的法人代表？
答：
将内资企业股权转让给香港人属于外资并购内资企业范畴，应适用外商投资企业法律以及外资并购内资企业法律。我国法律不允许境内个人与外商合资，但是内资企业成立满一年的，可以允许外资并购。
外资并购内资企业还应遵守外商投资产业目录，股权比例据此会有一定的限制。如果是鼓励类项目，法律对外资比例并无限制，但是在具体操作时，有些地方工商部门为防范名为合资，实为独资的企业登记注册，会对外资比例有所控制。
如果香港人取得公司控股权，自然可以出任董事长，即公司的法人代表。
