您好！请教两个问题：
一 因在内地注册一个公司所需费用太高,我拟在一代理注册香港公司的机构注册一香港公司,然后以香港公司在中国内地办事处名义进行公司业务运作,不知这合法不合法!!如不合法,还需要那些手续!!要怎样做？要注意那些方面的问题？？
二 香港公司在内地开展业务时,所开发票是内地的呢,还是香港的呢？交税要交给内地还是香港呢？还是分开交？？有哪些税？？

李先生：您好！
在香港注册公司确实费用较低，但是香港公司在内地设立代表处仍需一定的费用，且代表处不能直接从事经营活动，只能从事联络、信息收集等活动，因而以香港公司驻内地代表处名义从事业务运作是不合法的。
如果您决定注册香港公司，并设立内地代表处，须向驻在地外经贸部门申请，并经工商登记即可。
至于发票和税费，因为代表处不能直接从事经营活动，因而不存在发票问题，但是仍需交纳税务部门核定的所得税和营业税。当然，香港公司仍需在香港纳税。
