我国有关合伙的立法如民法通则、合伙企业法、律师法等法律均未赋予有限合伙应有法律地位。但是前不久外经贸部、国家工商总局等颁布的《外商投资创业投资企业管理办法》却确认了有限合伙的地位。虽然这只是部门规章，层次较低，甚至有违约的嫌疑，但却是一个好的开端。有限合伙是区别于公司和合伙的新型组织形式，对于促进经济发展特别是小企业的发展起到积极作用。规范有限合伙，关键在于谁可能成为有限合伙人，其权利义务如何界定，其在合伙体中地位如何，等等。
