我们是一家民营公司，现在有一家国营停产企业欲与我公司联合经营。我方出资金和技术、管理，对方以现有的厂房设备作为投资。我们双方商定我方占70%的股份，对方占30%的股份。首先，我们想问您，这样合作合法吗？其次，我们担心一旦出现经营亏损，对方做为投资的厂房设备都是国有资产能够承担亏损吗？
答：
以国有资产进行投资须经过一定程序，并须对双方现金以外出资进行评估，只要办妥一切手续，联营就是合法的。既然将厂房设备作为投资，就一定要办理过户和转移手续，将来即使亏损，国企也不能干预，因为这些厂房设备已经属于联营企业，不再属于国有企业了。
