甲、乙、丙三公司共共同发起成立丁公司，并已上市。现因乙公司以前的老债务，债权人向法院提起诉讼，丁公司是否应承担责任？丁公司提出乙公司虽然以其全部资产入股共同发起成立公司，但公司成立至今，乙公司资产实际没有移交，公司也没有撤销，一直到2000年还继续以乙公司法人的名义在工商局年检注册，仍具独立法人资格，债务应由乙公司自己承担，丁公司不应承担。请问：乙公司是否还具有独立法人资格？

您好！一般而言，公司无须对其股东的债务承担责任，因为公司及其股东在法律上都是独立的“人”。但是根据您所述，似乎乙公司是以其全部资产入股，或者说是并入了丁公司，那就要具体分析。一公司在法律上是否存续应以工商登记为准，乙公司既然没有注销登记，其在法律上依然具有独立法人资格。
