法律桥网友Inlake请教：公司A共由三个股东组成，现其中一股东B拟将其所拥有的股权转让给另一家公司C（其非A公司股东），此事已经公司A的全体股东开会一致同意并形成决议，但问题是相关的股权收购协议应该以公司A的名义还是以股东B（也是法人）的名义与收购方公司C签署呢？
上海马建荣律师解答：如果公司章程没有特殊约定的话，根据公司法的规定，公司股东向外部人员转让股份的，需要经公司过半数股东同意，并书面放弃优先购买权。至于你提出的问题，股权的享有主体是公司股东而不是公司本身，故股权转让只能在出让方股东和收购方主体间进行（可以是公司或个人），所以转让方：股东B 受让方：公司C
股权转让协议完成后，召开新的股东会，变更公司章程并同时报当地工商行政管理局办理变更登记备案手续。
