有一公司想转让给我，到时变更法人、所有股东、公司名称、注册地址，并原股东和新股东已签署协议，协议商定：从公司变更日起，新公司对原公司一切帐外的债权债务不负任何法律责任。请问：如果原公司在转让时隐瞒了部分债务，新公司还对这些债务负责吗？怎么保证自己的利益？谢谢！
答：
如果你所说的转让是股权转让的意思，那么理论上无论怎么变更，公司作为民事主体没有改变，它需独立对外承担责任，新公司只是原公司的变更，不可能不承担它的债务。但是通常在股权转让时会对债务情况进行调查，并据此约定债务的承担，股权转让时依据净资产转让，否则由原股东对未披露的债务进行担保。
