《公司法》第一百四十九条规定：公司不得接受本公司的股票作为抵押权的标的。但是根据《担保法》的相关规定，股票不能作为抵押物的标的，但可以作为质押物的标的。
法律作此禁止规定，是因为我国公司法限制公司回购本公司股份，因此实现质押权时选择余地就少了，再者，推而广之，公司虽然是资合组织，但是有限公司还是有人合的成份，如果有限公司接受本公司的股权质押，若以拍卖方式实现质押权，就不能选择将来的股东。
