根据现行公司法的规定，有限责任公司进行股权转让，分对内和对外两种，对内可以相互转让，对外需经半数以上股东同意，并放弃优先购买权，同时召开股东会修改公司章程，进行工商备案登记。
而所谓不得对抗第三人是指，如果没有进行工商备案登记，虽然出让方已经转让了其所拥有的股份，但在名义上他还是公司的股东。这就可能会产生新股东的权益不能得到完全保障的问题，如果老股东再次转让股份，并依照规定办理完毕相关手续，受让方又不知情的话（因为工商登记未改，其可以合理相信老股东还是权利人），那么法律保护的是后者的权利，原受让股东不得以其已经签署了股权转让协议，来对抗“第三人”，即新的受让方。
