广州辛巴哥哥律师解答：根据新的公司法第七十六条规定：“自然人股东死亡后，其合法继承人可以继承股东资格；但是，公司章程另有规定的除外。”因此，只要当初的公司章程没有规定不可继承股东资格，则继承人要求继承股份的权利是受到法律保护的。对方无权单方决定公司清算，否则可以其其侵害继承权为由将他告上法庭。目前，最关键的是确保公司的资产不被侵吞！如果打算诉讼，则应当同时采取财产保全的措施以及其它保障措施。
