上海马建荣律师解答：注册资金是公司成立的基础，由公司股东出资打入公司帐户，通过验资后，公司方可成立。这笔资金由成立后的公司支配使用，而不是股东，当然在形式上还是公司的负责人在行使支配权，但他代表的是公司而不是股东。股东在出资后无权擅自抽回资金，但可享受公司的利润分配，股东只要完成了出资就不再承担其他责任，公司以其独立财产对外承担责任。
